IntelX provides AI-powered personalized learning infrastructure for students and educational institutions. Our platform uses advanced artificial intelligence, including emotional intelligence optimization, adaptive assessments, and behavioral learning analytics, to deliver personalized educational experiences.

By using our Services, you agree to be bound by these Terms and our Privacy Policy, which is incorporated by reference.

Defined Terms

In this Policy, "IntelX," "we," "our," or "us" refers to the IntelX entity responsible for the collection, use, and handling of Personal Data as described in this document.

We provide Learning Services to entities ("Educational Partners"). We provide Student Services directly to individuals for their educational use.

"Educational Partners" are schools, institutions, and other organizations that we partner with to provide the Services.

"Learning Data" refers to data collected and used by IntelX to deliver personalized educational experiences you request. Some Learning Data is Personal Data and may include: your name, email address, contact information, educational progress, performance metrics, behavioral learning patterns, emotional state indicators, interaction data, and assessment results.

Depending on the context, "you" might be a:

  • "Student" - using our Services directly for educational purposes
  • "Learner" - accessing our Services through an Educational Partner
  • "Representative" - acting on behalf of an Educational Partner
  • "Visitor" - browsing our website or materials

1. Acceptance and Modifications

1.1 Agreement to Terms

By accessing or using our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not use our Services.

1.2 Age Requirements

  • Ages 13 and above: You may use our Services with appropriate supervision as required by law
  • Under 13: Parents or legal guardians must create accounts on behalf of users under 13 years of age. Users under 13 may only use our Services through parent-created accounts with proper parental consent and supervision as required by COPPA

1.3 Educational Partner Authorization

If you are a Learner accessing Services through an Educational Partner, your use is also governed by your Educational Partner's terms and policies. Your Educational Partner must have proper authorization to allow your access to our Services.

1.4 Modifications

We may modify these Terms at any time. We will provide notice of material changes through our Services or other appropriate means. Continued use of our Services after changes become effective constitutes acceptance of the modified Terms.

2. Description of Services

2.1 AI-Powered Learning Platform

Our Services include:

2.3 Service Availability

3. User Accounts and Responsibilities

4.3 Academic Integrity

When using our assessment and evaluation features, you agree to maintain academic integrity and not engage in cheating, plagiarism, or other dishonest academic practices.

4.4 Content Guidelines

Any content you submit must be appropriate for an educational environment and comply with applicable laws and Educational Partner policies.

5. Intellectual Property Rights

5.1 IntelX Intellectual Property

The Services, including all content, features, AI algorithms, educational materials, and technology, are owned by IntelX and protected by intellectual property laws. You may not reproduce, distribute, modify, or create derivative works without our written permission.

5.2 User Content License

You retain ownership of User Content you submit. However, you grant IntelX a worldwide, royalty-free license to use, reproduce, modify, and analyze your User Content to:

  • Provide and improve our Services
  • Generate personalized educational content
  • Train and improve our AI systems
  • Conduct educational research (in anonymized form)

5.3 AI-Generated Content

Educational content generated by our AI systems specifically for you (such as personalized lessons or assessments) may be used by you for your educational purposes. However, the underlying AI technology and algorithms remain our intellectual property.

5.4 Feedback

Any feedback, suggestions, or ideas you provide about our Services become our property and may be used without compensation or attribution.

6. Privacy and Data Use

6.2 Learning Data

You further acknowledge that IntelX may derive commercial value and profit from the analysis, aggregation, and use of Learning Data and Personal Data collected through the Services. By using our Services, you waive any and all rights to compensation, profit-sharing, or financial participation in any revenue, profits, or commercial benefits that IntelX may obtain from the use of your data.

6.3 Educational Partner Data Sharing

If you access Services through an Educational Partner, you understand that we may share your educational progress and Learning Data with that Educational Partner as described in our Privacy Policy.

7. Educational Partner Relationships

7.1 Institutional Accounts

Educational Partners may establish institutional accounts that allow their students or learners to access our Services. The Educational Partner's terms and policies may also apply to your use.

7.2 Representative Responsibilities

Representatives of Educational Partners must have proper authorization to act on behalf of their institution and agree to use our Services in accordance with their institution's policies and applicable educational laws.

7.3 FERPA and Educational Privacy

For educational records subject to FERPA, we act as a school official or service provider as appropriate, and use educational records solely for authorized educational purposes.

8. Payments and Subscriptions

8.1 Subscription Services

Some Services may require payment of fees. Subscription fees are billed in advance and are non-refundable except as required by law or as specified in these Terms.

8.2 Free Trials

We may offer free trial periods for certain Services. Free trials may be subject to additional terms and automatically convert to paid subscriptions unless cancelled.

8.3 Payment Processing

Payments are processed by third-party payment processors. You agree to provide accurate payment information and authorize us to charge your chosen payment method.

8.4 Price Changes

We may change subscription prices with advance notice. Price changes will not affect your current subscription period but will apply to subsequent renewals.

9. Disclaimers and Limitations of Liability

While our Services are designed to enhance learning, we do not guarantee specific educational outcomes, test scores, or academic performance improvements. Learning outcomes depend on many factors beyond our Services.

9.2 AI System Limitations

Our AI systems are advanced but not infallible. AI-generated content and recommendations should be used as educational tools alongside human judgment and instruction.

9.3 Service Availability

WE PROVIDE OUR SERVICES "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

9.4 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, INTELX SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, DATA, OR USE, INCURRED BY YOU OR ANY THIRD PARTY, WHETHER IN AN ACTION IN CONTRACT OR TORT, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY FOR ALL CLAIMS RELATED TO THE SERVICES SHALL NOT EXCEED THE GREATER OF $100 OR THE AMOUNT YOU PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM.

9.5 Jurisdictional Limitations

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability for incidental or consequential damages. In such jurisdictions, our liability is limited to the maximum extent permitted by law.

10. Indemnification

You agree to indemnify and hold harmless IntelX, its affiliates, officers, directors, employees, and agents from any claims, damages, losses, costs, and expenses (including reasonable attorney fees) arising from:

  • Your use of the Services
  • Your violation of these Terms
  • Your violation of any rights of others
  • Your User Content

11. Termination

11.1 Termination by You

You may terminate your account at any time through your account settings only. Account termination must be completed through the designated termination option within your account dashboard.

11.2 Termination by Us

We may suspend or terminate your access to the Services at any time for:

  • Violation of these Terms
  • Fraudulent or harmful activity
  • Non-payment of fees
  • Legal or regulatory requirements
  • Discontinuation of Services

11.3 Effect of Termination

Upon termination:

  • Your access to the Services will cease
  • We may delete your account and User Content
  • We may retain certain data as required by law or our Privacy Policy
  • Outstanding payment obligations remain due

11.4 Survival

Sections relating to intellectual property, disclaimers, limitation of liability, indemnification, and dispute resolution survive termination.

12. Dispute Resolution

12.1 Informal Resolution

Before initiating formal proceedings, you agree to attempt to resolve disputes informally by contacting us through our website contact page.

12.2 Binding Arbitration

For disputes not resolved informally, you and IntelX agree to resolve disputes through binding arbitration rather than courts, except for small claims court matters and intellectual property disputes.

12.3 Arbitration Rules

  • Arbitration will be conducted by the American Arbitration Association (AAA) under its Commercial Arbitration Rules
  • The arbitration will be held in Delaware, United States
  • The arbitration will be conducted by a single arbitrator
  • You may recover attorney fees if you prevail and applicable law permits

12.4 Class Action Waiver

YOU AND INTELX AGREE THAT DISPUTES WILL BE RESOLVED INDIVIDUALLY, NOT AS A CLASS ACTION, CONSOLIDATED ACTION, OR REPRESENTATIVE ACTION. YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION.

12.5 Exceptions

Either party may seek injunctive relief in court for intellectual property infringement or misuse of confidential information.

13. General Provisions

13.1 Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict of law principles.

13.2 Severability

If any provision of these Terms is found unenforceable, the remaining provisions remain in full force and effect.

13.3 Entire Agreement

These Terms, together with our Privacy Policy and any additional terms for specific Services, constitute the entire agreement between you and IntelX.

13.4 Assignment

You may not assign your rights under these Terms. We may assign our rights and obligations without restriction.

13.5 No Waiver

Our failure to enforce any provision does not constitute a waiver of our right to enforce that provision later.

13.6 Force Majeure

We are not liable for delays or failures in performance due to circumstances beyond our reasonable control.

13.7 Export Control

You agree to comply with all applicable export control and sanctions laws.

14. Educational Compliance

14.1 COPPA Compliance

For users under 13, we comply with the Children's Online Privacy Protection Act (COPPA) and obtain necessary parental consent before collecting personal information.

14.2 FERPA Compliance

When applicable, we comply with the Family Educational Rights and Privacy Act (FERPA) regarding educational records.

14.3 Accessibility

We strive to make our Services accessible in accordance with applicable accessibility laws and guidelines.
